The rules of the road.

These Terms of Service ("Terms") govern your access to and use of magicalnodes.com and the Magical Nodes application (the "Service"). By creating an account, embedding our widget, or otherwise using the Service you agree to these Terms. If you don't agree, please don't use the Service.

If you accept on behalf of a company, you confirm you have the authority to bind that company.

Magical Nodes is a visual research canvas: you connect content sources (videos, sites, PDFs, social, ads libraries, spreadsheets) to AI chat hubs, run skills, generate reports and decks, and publish embeddable widgets or web pages.

Magical Nodes acts as a Technology Provider when our customers (Business Users) deploy widgets, chatbots, or messaging flows on top of third-party platforms such as Meta (Facebook, Instagram, WhatsApp), Google or others. The Business User — not Magical Nodes — is the data controller for the end-user data that flows through those surfaces.

You must be at least 16 years old to create an account. You're responsible for safeguarding your password and for any activity under your account.

You agree not to use the Service to:

· violate any law or third-party right (including copyright, trademark, privacy, publicity, IP rights);

· upload malware, run denial-of-service attacks, or attempt to reverse-engineer the Service;

· generate harassing, deceptive, defamatory, sexually explicit material involving minors, or any other content prohibited by our LLM providers' Usage Policies (Anthropic, OpenAI, Google, OpenRouter);

· scrape data in violation of the source platform's Terms of Service. You are responsible for confirming you have the right to scrape any source you connect.

· build a chatbot or workflow that violates the Meta Platform Terms, Messenger Platform Policy, WhatsApp Business Solution Terms or comparable rules of any other downstream platform.

Material breach of these rules is grounds for suspension or termination without refund.

If you choose the BYOK plan, you supply your own API keys for OpenAI, Anthropic, Gemini, OpenRouter, Apify and/or Calendly. We encrypt them at rest (Fernet / AES-128 + HMAC) and use them only to make requests on your behalf.

Magical Nodes is not responsible for the third-party charges that result from those keys. Set your own quotas and budget alerts with the upstream provider.

Generated content (chat replies, reports, decks, images) is produced by third-party large language models. Output can be inaccurate, biased, or out of date. You are responsible for reviewing it before you rely on, publish, or share it.

Where applicable, attribution for sources you connected is preserved in the output. You retain ownership of your prompts and the output we generate for you, subject to the third-party model providers' terms.

Paid plans are billed monthly or annually through Stripe. Prices, included quotas and overage rates are shown on /pricing and may change with 30 days' notice.

Subscriptions auto-renew until you cancel from Settings → Billing. Cancellations take effect at the end of the current billing period; we don't pro-rate refunds for unused time.

If a payment fails we may suspend or downgrade your account until the balance is cleared.

Magical Nodes, the Magical Nodes logo and the underlying software are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service while your subscription is active.

You retain all rights to the content you upload or generate (your "Workspace Content"). You grant us a worldwide, royalty-free licence to host, process and display Workspace Content strictly to operate the Service for you. We do not use Workspace Content to train AI models.

When you connect a Meta-owned destination (Facebook Page, Instagram, WhatsApp Business, Messenger), you confirm you have all required permissions from end-users and from Meta.

You will comply with the Meta Platform Terms, the Messenger Platform Policy and the WhatsApp Business Solution Terms. You will not use Magical Nodes to send unsolicited messages, run unapproved promotional broadcasts, or otherwise breach Meta's rules.

Magical Nodes reserves the right to disable any connection that we believe (in good faith) puts our Meta Tech Provider status at risk.

You can close your account at any time from Settings. We can suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that exposes Magical Nodes or its users to material risk.

On termination we'll delete your workspace within 14 days, except for records we're legally required to keep.

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Magical Nodes disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We don't warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or fit for your purpose.

To the maximum extent permitted by law, Magical Nodes's aggregate liability under these Terms is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) USD $100.

Magical Nodes is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, even if we were advised of the possibility.

You will defend, indemnify and hold harmless Magical Nodes and its officers, employees and contractors against any third-party claim arising from (i) your Workspace Content, (ii) your breach of these Terms, or (iii) your violation of any third-party right or applicable law.

These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws rules. Disputes will be resolved exclusively in the courts of London, England, unless your local consumer-protection law mandates otherwise.

We may update these Terms as the product evolves. Material changes will be announced in-app and by email at least 14 days before they take effect. Continued use after the effective date means you accept the new Terms.
